1. Agreement to Terms

By accessing or using HeadQrtr ("the Service"), operated by HeadQrtr LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Service.

2. Description of Service

HeadQrtr is a time tracking, invoicing, and client relationship management (CRM) platform designed for freelancers and small businesses. The Service includes web-based and progressive web application (PWA) access, AI-powered features, client portals, and related tools.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

4. Subscription Plans and Billing

HeadQrtr offers free and paid subscription plans. Paid plans are billed monthly or annually as selected at checkout. Prices are displayed in US dollars unless otherwise stated.

  • Subscriptions automatically renew unless cancelled before the renewal date.
  • Plan upgrades take effect immediately with prorated charges.
  • Plan downgrades take effect at the next billing cycle.
  • Plan changes and cancellation requests may be processed through self-serve or support-assisted workflows, depending on feature availability.
  • We reserve the right to modify pricing with 30 days' advance notice.

5. Refund Policy

We offer a 14-day money-back guarantee on your first payment. After 14 days, refunds are not provided for partial billing periods. Contact support@headqrtr.com for refund requests.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorized access to other accounts, systems, or networks.
  • Upload malicious code, viruses, or harmful content.
  • Use AI features to generate harmful, misleading, or illegal content.
  • Resell, sublicense, or redistribute the Service without written permission.
  • Exceed reasonable usage limits or abuse automated access.

7. Your Data

You retain ownership of all data you upload to the Service. We process your data as described in our Privacy Policy. You can export your data at any time via the Settings page and submit an account deletion request via Settings or support at any time.

8. AI Features

HeadQrtr uses third-party AI services (Anthropic Claude) to power AI features including email drafting, voice commands, and smart suggestions. By using AI features, you acknowledge that:

  • Relevant data (client names, email context) may be sent to AI providers for processing.
  • AI-generated content should be reviewed before use and may require editing.
  • AI features are subject to usage limits based on your subscription plan.
  • We do not use your data to train AI models.

9. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by HeadQrtr LLC and protected by intellectual property laws. Your subscription grants a limited, non-exclusive license to use the Service for your business purposes.

10. Service Availability

We strive for high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by factors outside our control, including internet outages or third-party service failures.

11. Limitation of Liability

To the maximum extent permitted by law, HeadQrtr LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Termination

You may request subscription cancellation or account deletion from the Settings page or by contacting support. Some cancellation or deletion requests are processed manually for billing, fraud-prevention, or data-safety reasons. We may suspend or terminate your access if you violate these Terms or engage in conduct that is harmful to other users or the Service. Upon termination or approved deletion, data is handled according to our Privacy Policy and internal retention schedule.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
